Commercial law

The Commercial Law Department at Garden Stirling Burnet provides a broad range of commercial and corporate advice to a wide variety of clients in East Lothian. The team is headed up by Ian Philp and provides a pragmatic and personal service, tailored to meet the needs of individual businesses.

Commercial property

Development of land and buildings

We act on behalf of local developers and aim to be involved as early as possible in the process to ensure overall risk is managed and the best approach is taken to the development vehicle and contract structures. We will work with you through all phases of your development, from site selection through to planning and construction. Our experience of project management and secured lending allows us to provide a “hands on” service and to tailor our service to meet your individual needs.

Commercial leasing

We act for a wide range of landlords and tenants and have a detailed understanding of the East Lothian market. We can provide you with advice on all aspects of commercial leasing including sub-leasing, licenses for works, dilapidations and irritancy and rent review agreements.

Franchising

If you are a franchisor, we can look after all your legal interests whether you are looking to set up a franchise for the first time or already have a large network. For example, we can help with drafting franchise agreements, provide advice on intellectual property and trademarks, and deal with corporate or employment law matters.

Acquisition and sale

We provide our clients with an individually tailored service on acquiring and disposing of all types of commercial property, from offices and shops, to industrial sites and business parks.

Commercial and corporate advice

Company structures and formation

We can help you with the formal structure of your business whether it is a partnership, a joint venture or a company with limited liability. We can also draw up consortium agreements as well as shareholder agreements and can help with the buying and selling of shares.

Advice for new businesses

We have particular experience in helping clients who are embarking on their first business venture and can advise you on a range of general business issues such as funding, business planning and marketing.
